PROVISION 1: NAME

The name of the organization shall be African Unification Front (AUF) referred to in these provisions as the AUF, or as the Front, or as the African Front.

PROVISION 2: ADMINISTRATIVE PROVISIONS

Article I: Meaning of Terms
“Provisions of the AUF” shall mean the constitution of the AUF.

Article II: Purpose of Provisions
The purpose of the Provisions of the African Unification Front is to facilitate the accomplishment of the mission of the AUF.

Article III: Methods

1. The AUF uses its organs to study and understand the structures of African society. The public benefits from the initiatives and experience of the AUF.

2. The AUF in conjunction with relevant state and institutional bodies and persons, shall monitor the implementation of relevant laws on African unification, call on organizations and individuals to implement and facilitate the accomplishment of relevant tasks, treaties and procedures, in order to fulfill the mission and mandate of the AUF.

3. The AUF fosters effective strategies for increasing Africa's wealth through facilitating cooperation and integration within Africa. By helping Africa achieve efficiencies in its operations and services, existing resources will be freed to provide improved services, rebuild Africa’s environment, optimize its infrastructure, and help make government in Africa more socially responsible.

4. AUF policies and developments are shared with African leaders for consideration and implementation and with the African public to provide them information necessary to participate in informed dialogues on public issues. The AUF research and public forums will encourage individual and community participation and involvement in Africa.

5. The leadership of the AUF is comprised of individuals with extensive experience in organizing African communities, who are intimately familiar with issues that affect Africans all over the world.

6. The AUF organizes its capacities in order to execute decisive measures wherever and whenever possible, and aims to influence the local, state, national and international structures in order to effect policies favourable to the fulfillment of its mission.

7. The AUF is not officially affiliated with any political party.


PROVISION 3: AUF MISSION

The AUF is a historic and global organization that is working to consolidate Africa into a unified political, social, and economic entity, by, among other things, engaging the broad masses of Africans in the process of integration.

The AUF is working to:
a]Consolidate the provisions of the African Union and all pertinent treaties, including the establishment and empowerment of a legislative assembly [Pan-African Parliament] consisting of elected representatives of communities from all of Africa, with the mandate to govern and manage Africa's resources in ways that are beneficial to all Africans.

b] Strengthen African legality, including supporting the establishment of the African Court of Justice, based initially on the Banjul Protocol (the African Charter of Peoples and Human Rights), with the mandate to
build a comprehensive body of functional African law and justice.

c] Create the African Defence Force, with the mandate to defend African sovereignty against any and all external military threats. Groundwork for the formation of the African Defence Force was laid down in 1988 by the OAU General Assembly. The forces will secure coastal waters, strategic facilities, as well as guarantee the safety of African communities.

d] Create the African Central Bank, with the mandate to establish an economic stabilization fund, and to oversee the creation and management of a single African currency, a single African Free Trade Area, and a Common External Tarrif.

e] Create the African Council of Research with the mandate to establish and to oversee the technological advancement of Africa, secure funding for ecologically sound management of Africa's watersheds and vast animal life, and oversee the integration of the education system in Africa.

f] End displacement of communities, and bring an end to the continuing political and social repression of Africans everywhere. The AUF aims to facilitate an end to interstate and intrastate warfare in Africa, and lead the struggle for peaceful and productive community relations.

g] Do all other things that will guarantee the future integrity and wholeness of Africa as a single nation with all the appropriate organs, rights, and privileges befitting a united and sovereign people.


PROVISION 4: IMPLEMENTING PROVISIONS

Article I: Effectiveness

1. These, the Provisions of the AUF, shall come into effect as of 1st October 1996.

2. In order to increase the effectiveness of the organs of the AUF, the Board of Directors [Council for Strategy and Policy Coordination], the AUF National Committee, the AUF Parliamentary Caucus, and the members of AUF shall, WITHIN PERVIEW of their respective duties and powers, organize, or revise the provisions in order to repeal, amend, supplement, issue new regulations according to these provisions, OR shall request, defer to, and appeal to the AUF Council for Strategy and Policy Co-ordination or it's appointed representatives to repeal, amend, supplement, or issue new regulations in accordance with the provisions of the Front.

Article II Guidelines for the Implementation of Provisions

1. In the process of establishment of new organs, or in the event of administrative emergency, or failure of leadership, the AUF shall be governed by the AUF Board of Directors [also known as the Council for Strategy and Policy Co-ordination], which shall make detailed regulations and provide guidance for the implementation of the AUF Provisions.

2. In the normal course of the life of the AUF, the provisions shall facilitate and help to guide the leaders and members of the AUF in their fulfillment of the mission of the AUF.


PROVISION 5: STRUCTURE OF THE AFRICAN UNIFICATION FRONT

Article I: Organizational Structure

1. The AUF is organized as a unified and centralized system, comprising members and executive organs, assisted by, administered or co-ordinated by the Executive Committee as the AUFs central executive organ, that administers sub-ordinate organs around the world.

2. The organizational structure, duties and powers of the executive organs of the AUF, are stipulated in the Document of Provisions, referred to here as The Provisions of the AUF. This, the “Document of Provisions” is the constitution and administrative manual of the African Unification Front.

3. The AUF consists of the following structures:

[a] General Council
[b] Membership Forums
[c] Board of Directors
[e] National Committee
[f] Parliamentary Wing
[g] Executive Committee



Article II: Leadership

1. The Executive Committee’s senior officials, are members of the AUF and shall be responsible for the leadership and management of the AUF within the rights and duties as stipulated in The Provisions.

2. The Executive Committee is the executive arm of the General Council. The General Council shall consist of the Board of Directors, the National Committee and the Parliamentary Caucus. The Executive Committee shall consist of no more that Nine (9) AUF members, three (3) from each of the organs that constitute the General Council. The Executive Council shall consist of the three leading members of the AUF Board of Directors, the three leading members of the National Committee, and the three members of the Parliamentary Caucus.

3. The Board of Directors shall be chaired by the AUF General Secretary. The National Committee shall be chaired by the AUF President, and the AUF Parliamentary Caucus shall be chaired by the AUF Party Leader.

Article III: The General Secretary shall have the following duties and powers:

a. Directing and organizing the implementation of the duties and powers of the Board of Directors of the AUF as set out in the Provisions of the AUF;

b. Being responsible for and to all the AUF organs;

Article VI: The AUF Board of Directors, shall have the following powers and duties:

a. Directing and organizing the implementation of the strategic duties and emergency powers in the administration of the AUF.

b. Delegating powers temporarily from time to time, to organs of the AUF.

c. Safeguarding the original vision, intent, attitude, and mission of the AUF.

d. The Chair of the Board of Directors of the AUF shall be the juridical person for the AUF;

Article V: The President has the following duties and powers:

a. Directing and organizing the implementation of the duties and powers of Monitoring and Evaluation as set out in the Provisions of the AUF;

b. Facilitating and organising the management of AUF membership concerns and increasing membership participation in the life and direction of the AUF.

Article VI: Organs and Representatives

1. AUF organs that are subordinate units under the Executive Committee are subject to the unified and centralized leadership and management of the AUF Executive Committee, and of the general conventions and best practices of the struggle for African unity.

Article VII: AUF organs carry out and exercise the following duties and powers as authorized by the Provisions:

a. Supervise and inspect AUF activities in the policy or geographical area of which they are assigned;

b. Issue or participate in the establishment and operation of AUF projects and assignments;

c. Decide on the dissolution, separation, integration or merger of AUF institutions and projects in the policy or geographical area of which they are in charge;

d. Provide leadership, guidance, and other AUF services to members and supporters of the AUF, and to institutions, in ways that are relevant to the mission of the AUF;

e. Conduct other authorizations in accordance with applicable AUF provisions;

f. AUF Representative offices and organs are subordinate units of the AUF organs and function as representative in accordance with the authorization by the AUF Executive Committee.

Article VIII: Subordinate Units

1. The Executive Committee shall decide on the establishment of subordinate units for the purpose of providing specialized services to the AUF.

Article IX: Organisational and Parliamentary Wings

1. The Organisational and Parliamentary wings of the AUF each have clearly defined and separate roles. The Organisational wing advises the Parliamentary wing, particularly on the development of policies.

2. The Organisational wing, consisting of the AUF Board and the National Committee, is responsible for:

[i] the Front's ‘Platform’ - the broad statement of AUF intentions;

[ii] pre-selection of the Front’s candidates for elections;

[iii] management and conduct of election campaigns;

[iv] fund-raising

3. The Parliamentary wing of the AUF is made up of the AUF PAP Caucus, and International, Regional, State and local parliamentarians.

4. The Parliamentary wing is responsible for:

[i] the representation of electorates held by AUF Members of Parliament, and other legislative public institutions.

[ii] the AUF policies, strategies and parliamentary priorities guided by the principles contained in the AUF Mission Statement and Policies.



PROVISION 6: EXECUTIVE COMMITTEE

Article I: Composition of the Executive Committee

The full Executive Committee should consist of no more than 9 (nine) members: 3 from the AUF PAP Caucus, 3 from the AUF National Committee, and 3 from the AUF Board of Directors.

Article II: Rights, Responsibilities and Obligations of the Executive Committee.

1. The duties of the AUF Executive Committee, and its relations with the rest of the AUF as listed in the provisions may not be altered, except by the Council for Strategy and Policy Co-ordination [The AUF Board of Directors] by limited and judicious use of the Special Control Provision.

2. The Executive Committee shall be the governing authority of the AUF. The Executive Committee coordinates the functions of the different branches of the General Council, and oversees the implementation of AUF policy and the execution of General Council decisions.

3. The National Executive Committee is the AUF highest management committee, entrusted with the duty of ensuring that it functions smoothly. It is responsible for the Party's funds, structure, political strategy and publicity, it is answerable to the Party conferences/Conventions and is charged with carrying out conference decisions.

4. The Executive Committee shall also have the responsibility to conduct internal auditing with respect to AUF operations, and propose the relevant measures for correcting violations.

5. The Executive Committee shall have the right to request the AUF organs and other concerned parties to provide documents, evidences and responses to matters relating to assignments, with the view to recommend measures to be taken;

6. The Executive Committee shall apply preventive measures and deal with violations in accordance with applicable articles of the Provisions of the AUF.

7. The Executive Committee shall conduct proper oversight procedures is a manner that shall not impend ordinary AUF activities or cause losses to the legitimate interests of the other AUF organs;

8. The Executive Committee shall making reports to the AUF membership on the results of its oversight functions;

9. Complying with applicable provisions, being responsible to the AUF General Council, and observing the AUF Provisions, for conclusions and any act, decision made by the committee.

Article III: Rights of AUF Committees and organs during oversight of Executive Committee

During the oversight by the Executive Committee, AUF committees and organs conducting AUF activities shall have the following rights:

1. To request the Executive Committee to comply with provisions on assessments, and in the case of a dispute with the decision of the Executive Committee, the matter shall be settled by the Council for Strategy and Policy Co-ordination [the AUF Board of Directors].

Article V. Obligations of AUF Committees and Organs during oversight by the Executive Committee

During the administrative proceedings of the Executive Committee, AUF organs shall have the following obligations:

1. To satisfy requirements made by the Executive Committee with respect to the proceedings;

2. To comply with any decision made by the Executive Committee.



PROVISION 7: NATIONAL COMMITTEE

Article I: Composition

1. Delegates representing AUF members

2. Delegates from AUF constituency organizations

3. AUF International, All-African Union, Regional and Local Office bearers


Article II: Duties and Responsibilities of delegates and organizers

1. To support the implementation of the mission and goals of the AUF.

2. To protect legitimate rights and interests of members as stipulated by the Provisions, and to represent and protect the standing and advancement of AUF members within the AUF decision making structure.

3. To provide an organizational identity for AUF members engaged in unification efforts and practice.

4. To promote and disseminate the understanding of AUF theory and knowledge within communities and the public.

4. To effect liaisons with other organizations who share common objectives for unification and the advancement of AUF policy, ideology, and practice.

5. To advocate for the highest standards of participation in the mission and cause of the AUF.

6. Using focus groups, conventions and other membership participation systems the President of the AUF provides members with a means to participate in the AUF decision making structure, and ensures that AUF leaders and members are accountable to each other, and that together they can further the goals and mission of the AUF.

7. Membership units/cells/associations select and support candidates in local elections. They select and support prospective parliamentary candidates for each constituency covered by the AUF unit.


Article III: Voting, Meetings and Conventions of the AUF National Committee.

1. The AUF National Committee shall meet at such times and places as may be determined by "Call of the Executive Committee".

2. The National Committee may, without meeting together, transact business by mail. The Executive Committee shall send out mail ballots on any question submitted by the President or by at least 1/5 of the members of the National Committee. An appropriate and predetermined amount of time shall be allowed for the return of the votes cast, by mail, to the Executive Committee.

3. The Executive Committee shall establish procedures for identifying voters in a mail ballot, and may accept votes through any mail system, including facsimile and electronic mail, for which such procedures have been established.

[i] Votes from alternate regional representatives will be counted, in accordance with the ranking procedure of the region, only if the regional representative fails to respond to the ballot. If, at the expiration of the applicable period, a quorum of the National Committee have not returned their votes, the measure being voted upon shall be deemed to have failed;

[ii] In all other cases, a majority of the votes returned shall carry the measure, except where a higher vote is required by the AUF Provisions. The General Secretary shall preserve all such votes until the next meeting of the National Committee, at which meeting the National Committee shall order the disposition of such votes.

4. At the discretion of the Executive Committee, members of the National Committee who are unable to be present and whose vote has not been cast by proxy or by mail, may be polled for the purpose of recording their vote on any roll call taken by the National Committee.

5. A majority of the membership of the National Committee shall constitute a quorum for the transaction of business at all meetings.

6. Upon appeal any member of the AUF, the AUF Board of Directors shall consider the question of whether or not a decision of the National Committee contravenes specified sections of the AUF Mission and Provisions. If the decision is vetoed by the Council for Board of Directors, it shall be declared null and void.

7. Between meetings of the AUF National Committee, the management and control of the AUF’s affairs are vested in the AUF Executive Committee as consistent with the Provisions.

Article IV: Limitations and Prohibitions on the Powers of the National Committee

In order to maintain the coherence and sovereignty of the AUF in perpetuity, and to ensure that it achieves its mission to defend and protect the unity of Africans, the officials of the AUF National Committee:

1. Shall not set up independent or autonomous branches of the AUF;

2. Shall use consensus in decision-making, including in the selection, election or appointment of key leaders;

3. Shall keep confidential the internal operations of the AUF General Council, its organs and shall observe the rights of the members in accordance with applicable provisions;

4. Shall not abuse their position, powers in order to take advantage of the AUF for personal interest;

5. Shall perform obligations of the office in accordance with applicable provisions;



PROVISION 8: SPECIAL CONTROL

Article I: Report on Difficulties

When there is no established functionality, or when there is inability to perform assignments, AUF organs shall immediately report to the AUF Board of Directors of their operational status, the reasons thereof and measures already taken and proposed to be taken to address the situation.

Article II: The entire Document of Provisions of the AUF does NOT empower General Council, the Executive Committee, the National Committee, the Parliamentary Caucus, or any other organ or leader of the AUF, to make a provision amending or repealing any of the essential powers mandated by the Special Control Provision (see Provision 8, Art.VII-2e). In the event of contradiction within the Provisions, amendments or other AUF documents, the Special Control Provision takes precedence.

Article III: Definition of Special Control

1. Special control is the state where an individual or AUF organ (committee, assessment team, directorate) is put under the direct control of the Special Control Executive due to the risk of becoming dysfunctional.

2. The Special Control Executive shall be responsible for inspecting, discovering in a timely fashion any events of potential trouble.

Article IV: Conditions for the Application of Special Control

An AUF organ or agent (including the entire AUF) may be put under the Special Control Provision in the following cases:

1. The organ is new and still under construction;(the agent is new and still under training)

2. There is a potential risk of disuse and misdirection;

3. Damage to the reputation or mission of the AUF;

4. Failure to carry out assignments or to follow the Provisions of the AUF.

Article V: Authority to Declare or Impose Special Control

1. Only the Chair of the Council for Strategy and Policy Co-ordination, has the right to issue the decision to put AUF organs under Special Control.

Article VI: A decision to put an organ under the state of Special Control shall include the following:

1. Name of the organ to be put under special control;

2. Reasons for the special control;

3. Full name of members and specific duties of the special control team (also special control executive) appointed by the Chair of the Council for Strategy and Policy Co-ordination, to assist in the implementation of the Special Control provision;

4. Duration of Special Control.

5. The decision on special control shall be notified by the Chair of the Council for Strategy and Policy Co-ordination to relevant parties for coordination in the implementation of such decision.

Article VII: Duties, Powers and Responsibilities of the Special Control Team

1. The Special Control Executive is an instrument of the AUF Council for Strategy and Policy Co-ordination. The Special Control Executive shall have the following duties:

a) To direct the Executive Committee, the National Committee, the President, the General Secretary and/or other leaders of the AUF to prepare a plan to improve its organization and operation;

b) To direct and supervise the implementation of the measures set forth in the AUF improvement plan, as approved by the AUF Board of Directors;

c) To report to the Chair of the Board of Directors on the operational performance of the AUF and results of the implementation of the improvement plan.

2. The Chair of the AUF Board of Directors shall have the following powers:

a) To suspend any activities not in compliance with the approved plan to improve the organization and operation, or not in compliance with the policies applicable to AUF activities, or to suspend all activities and policies which may be detrimental to the interests of the AUF mission;

b) If considered necessary, to suspend temporarily, conditionally, or indefinitely the rights of any member of the General Council, or the Executive Committee, to take part in the administration, management or control of the AUF;

c) To instruct the Executive Committee, or other AUF leaders, to remove from office or suspend any AUF official who commits a violation of AUF provisions or fails to comply with the approved plan on improvement of the organization and operations;

d) To propose and implement plans to improve the operations of the mission of the AUF.

e) All essential powers of the Board of Directors are inviolable. The Special Control Provision may not at any time, be amended or modified in any substantive way, except with the express permission of the Founder of the AUF. In the event of the Founder's retirement, this function is to be performed by the Chairs of the AUF Board of Directors.

Article VIII: Responsibilities of the Executive Committee under the Special Control

The Executive Committee of the AUF under Special Control shall be responsible for:

1. Preparing and submitting to the Board of Directors for approval a plan to improve the organization and operations of the AUF and organizing the implementation of such plan;

2. Continuing the administration, control and management of operations and assuring the safety of the operations of the AUF, except in the cases where the Chair of the Board of Directors requires otherwise;

3. Complying with any requests of the Chair of the Board of Directors on the organization, administration, control and management of the AUF.

Article IX: Rights of AUF Committees and Organs during Special Control

During the inspection of the Special Control Executive and designated assessors, AUF committees and organs conducting AUF activities shall have the following rights:

1. To request the Special Control Executive to comply in good faith, with the spirit of the historic mission of the AUF, as defined by the provisions and other AUF documents, by proofs, and by precedents within the AUF.

2. To appeal the decision of the Special Control Executive to the Council for Strategy and Policy Co-ordination, for reconsideration.

Article X: Termination of Special Control

The state under which Special Control has been invoked and applied, shall terminate in the following cases:

1. The AUF resumes its normal operations;

2. The historic mission of the AUF is no longer under threat;

3. The new organ is able to function properly without the direct intervention and supervision of the Special Control Executive or other instruments of the Council for Strategy and Policy Co-ordination;

4. The state of special control shall be terminated by a decision of the Chair of the Council for Strategy and Policy Co-ordination of the AUF. That decision shall be notified to all concerned organs and persons.


PROVISION 9: BOARD OF DIRECTORS


Article I: Structure and Composition

1. The AUF Board of Directors.

2. The objectives of the Board shall be to secure the safety of the system of operations of the AUF, and to provide continuity in the policy and strategic functions of the AUF.

3. Ensuring the compliance with provisions, the implementation of the provisions and directives of the Executive Committee.

4. Within its jurisdiction, detecting, preventing and dealing with violation of provisions; proposing to the competent organs solutions for the violation of provisions;

5. Proposing solutions for ensuring the enforcement of provisions.

6. Convening Administrative Tribunals, which must be conducted with fairness and impartiality.

7. The Board ensures co-ordination between policy-making, evaluation, and implementation.


Article II: Duties of the Board of Directors

The Directors have the following major functions:

1. Advising the Executive Committee, and other AUF organs, and providing guidance in matters pertaining to the mission and cause of the AUF.

2. To aid other organs of the AUF in setting objectives and priorities by providing advice and expertise based on seniority, experience, and knowledge of matters of organization capacity, African and international affairs, and other important affairs.

Article III: Responsibilities

Reporting to the AUF Executive Committee, through the General Secretary, the AUF Board of Directors has the following major functions:

1. To aid the AUF in setting its objectives and priorities by providing it with a comprehensive and coordinated service; co-ordinate and control the implementation of the major policy decisions reached by the General Council.

2. Serve as a unified control, legal and financial service for the General Council, the AUF Conventions, other AUF Organs, Policy Committees and organisers, and in this capacity advises them on organizational questions.

3. Follow-up on the implementation of the decisions of the General Council, AUF Conventions and organizers in addressing matters concerning privileges, rights, entitlements, and immunities of the AUF and its members.

4. Prepare the final versions of Texts, Agreements, Conventions, Treaties, Protocols, Rules of Procedure of AUF organs and conferences and propose changes thereof.

5. Provide liaison between the General Council and other AUF organs.

6. Represent the AUF at international conferences, and other negotiations.

7. Examine the requests for projects and relations with the AUF; submit those that meet the criteria to the General Council and follow-up on the relationship between the AUF and other organizations.

8. Interpret AUF provisions and other documents, texts and regulations etc.

9. Follow-up on the legal work and law making functions of the General Council with a view to ensuring that AUF activities are conducted in conformity with the AUF Provisions.

10. Determine the credentials and eligibility of all new applicants to the General Council.

11. Service all AUF committees and organs and maintain a record of members, affiliates and supporters of the AUF.

12. Organize the collection, analysis and forecast of African domestic and international information on any activities in order to formulate and implement the AUF mission. The AUF organs and committees shall be responsible for providing necessary information to the Executive Committee.

13. Members of the AUF Executive Committee shall serve as returning officers, for the elections in committees and organs of the General Council.

14. The Executive Committee shall publish information on AUF activities. The General Secretary shall provide for the scope, form and timing of the publication of such information.


Article IV: Powers and Rights of Board of Directors:

Members of the Board of Directors are permanent members and may be removed only in the case of a violation of the provisions, and in accordance with the relevant disciplinary or special control provisions.

Article V: Composition Of the Board of Directors

1. The Board consists of full members who are also voting members, and Associate or Candidate members of the Board of Directors. Past senior officials of the AUF National Committee and the AUF Parliamentary Caucus, or founding members of the AUF, are automatically entitled to be Associate members of the Board.

2. To become a member of the Board of Directors, a person is nominated by a voting member of the Board. Their nomination is confirmed by a majority vote of the AUF Board of Directors.

3. All voting members of the Board serve indefinite terms. Permanent members must have served as non-voting associate members of the Board during which time they must have demonstrated capacity to generate coherent policy, and the ability for evaluation, review, and analysis of policy and implementation for the purpose of improving the Front's ability to accomplish its mission.

4. Non-Voting Candidate members of the Board, also known as Candidate or Associate members of the Board, must also be past AUF presidents or Caucus members. The may not become Voting members unless there is a vacancy on the voting Board.

5. The Board consists of no more than 15 permanent voting [full] members, including the chair (AUF General Secretary]; There is no restriction on the number of non-voting, Associate or Candidate members.


Article VI: Terms of membership:

All members of the Board of Directors are Honorary Lifetime Directors of the AUF. Full members of the Board of Directors may remain on the Board permanently.

Article VII: DUTIES & OBLIGATIONS

1. The Board of Directors, formely known as the Council for Strategy and Policy Coordination, is judicial and acts as the last internal court of appeal in the affairs of the AUF. The Board's authority is mandated by Provision-8 of the AUF Constitution. Under the Provision-8 the Board may under certain circumstances have control superceding that of the general membership, or of any other AUF organs.

2. Members of the Board are persons who defend the mission and validate the policies that guide the overall strategy of the AUF.

3. Members of the Board must have a thorough knowledge of the operations and history of the AUF, and must demonstrate extraordinary discipline, leadership capacity, and commitment to the spirit of the founder and early framers of the AUF. The members must have proven experience or interest in consolidating and furthering the aims and the objectives of the AUF.

4. All the members of the Council for Strategy and Policy Co-ordination are ex-officio members of all AUF organs, except the National committee and the AUF Parliamentary Caucus.

5. The Chair of the Board of Directors, who is the General Secretary of the AUF, declares, oversees and terminates the Special Control situations, following a vote or on the advise of the members of the Board of Directors.

6. The CSPC [Board] approves the candidates for all of the key positions of leadership in the AUF.

7. When necessary the Board/Council approves major expenditures, and authorizes direct actions by AUF members. The Board/Council has the right and the power to control and dispose of all AUF property and funds of the AUF under the Special Control Provision.

8. The powers and rights of the Council for Strategy and Policy Co-ordination must be exercised only rarely and sparingly or when extraordinary circumstances call for such action. This is done only in order to ensure the safety of the AUF, or if the mission is being compromised, or in order to further the mission of the AUF. The Council for Strategy and Policy Co-ordination, while it has regular and mundane contributions to make in the usual functions of the AUF, exercises its emergency or extraordinary powers ONLY under the Special Control Provision of the AUF. The Special Control instrument has specific and clear guidelines that may not be superceded and which allow for checks and balances, in order to protect other organs of the AUF against abuse by the CSPC.

9. When necessary the CSPC co-ordinates and directs all diplomatic, para-diplomatic, strategic, military and intelligence matters and questions that concern the AUF.

10. To provide, by ordinance, for the creation of offices, boards and commissions other than those required by the AUF Provisions, and for the appointment of persons to fill such offices, boards and commissions, and to prescribe their powers and duties and fix their compensation.


Article VIII: Appointment of the Chair of the Council for Policy Co-ordination

1. If the position of AUF General Secretary becomes vacant, the President of the AUF will nominate a Full Member of the Council/Board. The nomination will be confirmed by the majority of members of the AUF Board of Directors, to serve for an indefinite term.

2. There must be bi-annual reviews of the General Secretary’s leadership, and votes of confidence. Any member of the Board may also initiate a motion of censure of no no-confidence. The General Secretary may be removed if a motion of no-confidence is passed by a majority of the Board. The only reasons for initiating a no-confidence vote against the General Secretary are to preserve the unity of the AUF, and to preserve the mission of the AUF.


Article IX: Members Tenures and Council/Board Management

1. All Full Members of the Council/Board have an indefinite tenure, and may only be removed by their peers on the Council/Board following a vote of n0-confidence, after motion of censure or suspension. A no-confidence vote can only be taken against a member of the Board: if they pose a threat to the mission of the AUF; if they abuse their power and privileges; or if they are no longer able to perform their functions.



PROVISION 10: AUF GENERAL COUNCIL

Article I: Structure and Composition

The affairs of the AUF shall be administered by the General Council that shall be composed of:


1. AUF Executive Committee
2. AUF Parliamentary Caucus
3. AUF National Committee
4. AUF Board of Directors
5. All other AUF Organs and committees

Article II: Duties and Powers of the General Council

The General Council shall perform the following duties and powers with respect to the management of the AUF:

1. To identify the current status and development of unification effort in order to formulate policies, plans or projects on consolidating the gains of Pan Africanism;

2. To promulgate unification policies and to provide guidance for their enforcement;

3. To draw up and implement programs for unification, integration, and positive relations between African communities;

4. To determine policies concerning African unity, and other policies in the Pan African effort, and policies concerning the development of constructive African participation within the economic, social, and political undertakings all over the world;

5. To organize and carry out research on African unification and Pan-Africanist matters, and to collect statistics and information on the African Union and African communities in Diaspora;

6. To carry out inspection and supervision of the application of the AUF Mission and Provisions, to impose sanctions on breaches of AUF principles, and to settle disputes in accordance with the provisions of this Code;

7. To develop international co-operation relations with Pan-Africanist organizations, international human and civil rights, research organizations and all other institutions, for the purpose of accomplishing the mission of the AUF;

8. The General Council shall oversee the welfare of the AUF; draft laws, ordinances and other documents concerning AUF activities, projects and operations; and promulgate regulations on AUF management under its jurisdiction;

9. Ensure that the organs of the AUF are managed efficiently and in accordance with AUF Provisions;

10. Establish good relations with like-minded organizations around the world and give AUF members the full benefit of such liaisons;

11. Where necessary create and constitute committees, sub-committees, assessment teams, and such other organs as are required to facilitate the fulfillment of the mission and aims of the AUF;

12. Delegate authority and decisions to permanent officials, issue directives, or recall and withdraw permission for AUF operations;

13. Organize and operate all the AUF organs in Africa and abroad; Control and inspect the implementation of directives and programs and control the implementation AUF activities everywhere; Control AUF relations with governments and other organizations and institutions, and perform other duties and powers in relation to the AUF in accordance with applicable Provisions.

14. The General Council of the AUF shall review and approve the general budget of the AUF.

15. The General Council is responsible for the AUF Parliamentary policy. The General Council is the AUF's highest forum for debating parliamentary policies. Resolutions of the General Council are binding on the AUF Parliamentary caucuses and all AUF public office holders.


Article III: Members, Organs and Committees of the General Council shall:

1. Comport with the requirements of the AUF Provisions and carry out such activities as may serve to promote the objectives of the AUF.

2. Decide, act and manage their affairs in conformity with the general disposition of the AUF and its Provisions.

3. If it becomes necessary for the General Council to dissolve an organ or committee, the AUF Council for Strategy and Policy Coordination will make the final decision in order to preserve the integrity of the historic mission of the AUF.




PROVISION 11: AUF MEMBERSHIP

Article I: Composition of Membership

1. Membership in the AUF is free and by acknowledgement. There is no membership fee.

2. Anyone may become a member, and shall remain a member as long as they respect the rules of the AUF;


Article II: The objectives of the membership shall include:-

1. to affiliate to the African Front;

2. to recruit new members to the Front;

3. to support community, state, and international activities;

4. to promote, and increase understanding of, the mission, activities and ideology of the Front;

5. to select and support African Front candidates in elections;


PROVISION 12: PARTY LEADER

1. The Party Leader is a statutory member of the AUF Executive Committee.

2. The Party Leader is the Chair of the AUF Caucus in the Pan African Parliament.

3. The Party Leader is assisted by a Deputy party Leader and a Party Whip, both of whom are also statutory member of the AUF Executive Committee.

4. The Party Leader coordinates scheduling of legislation for the floor in the PAP, and builds coalitions to pass it.



PROVISION 13: PRESIDENT OF THE AUF

Article I: Duties

1. Is a statutory member of the AUF Executive Committee;

2. Runs the day-to-day activities of the AUF and provides leadership and counsel to the leaders and members of the AUF.

3. Assists in the evaluation and monitoring of AUF activities, and prepares analyses, reports and recommendations for use by the relevant organs;

4. Chairs the membership conventions, and delegates authority to the leaders and organisers of AUF membership conventions, membership groups, branches etc,;

5. Oversees the welfare of members and ensures that they are treated properly by all the AUF organs;

6. Works closely with the General Secretary, and with the Chair of the AUF PAP Caucus, to make sure the AUF maintains integrity and relevance in addressing members concerns;

Article II: Method of Appointment

1. Is elected by members of the National Committee, or when necessary is appointed by the AUF General Secretary (Chair of the AUF Board of Directors), to serve for a three (3) year renewable term.



PROVISION 14. GENERAL SECRETARY

Article I: Definition of Office

1. The General Secretary is the Chair of the AUF Board of Directors, which is also designated as the AUF Council for Strategy and Policy Co-ordination. The General Secretary is a statutory member of the AUF Executive Committee. Two Deputy General Secretaries who are also statutory members of the AUF Executive Committee assist the Secretary General.

Article II: Duties and Responsibilities:

The General Secretary:

1. Is chair of the Board of Directors and convenes the Board as and when necessary, by all means of choice, including electronically.

2. Assists in the evaluation and monitoring of AUF activities, and prepares analyses, reports and recommendations for use by the relevant organs;

3. Oversees the execution of AUF policy and programs by the Executive Committee.

4. Writes annual report of AUF activities, and receives reports from AUF organs on schedule or upon request.

5. Ensures that activities of the AUF are concluded in accordance with AUF Provisions, and inspects at anytime the files of the secretaries of the AUF organs to make sure that they maintain proper AUF activities.

6. Together with the President, and Party Leader, the General Secretary maintains a record of members and activities of the AUF.

Article II: Method of Appointment

1. The General Secretary is elected by the Board of Directors from among sitting directors. The position of General Secretary is subject to a vote of review bi-annually. A person may also be removed from the position of General Secretary any time by a Vote of No-Confidence by a majority of full members of the AUF Board of Directors.



PROVISION 15: AUF MEETINGS, CONFERENCES AND CONVENTIONS

1. At these meetings members put forward motions, which are then debated or discussed by the conferees and replied to by leaders of the AUF. Resolutions are considered in forming AUF policy, but are not binding if they are in contradiction to the mission or provisions of the AUF.

2. Meetings may be summoned by the AUF General Council or by any other organ of the AUF. At any meeting no business can be taken unless it has been specified in the calling notice for the meeting.

3. Committees shall meet at reasonable intervals or as needed.

4. Committees develop policies that set out how they will implement and enforce the AUF Provisions, and the Code of Conduct.

5. Committees shall seek input from AUF members and other AUF organs, as well as from AUF Staffs, volunteers and the community.

PROVISION 16: LOCATIONS AND EQUIPMENT

The AUF Board of Directors [Council for Strategy and Policy Coordination] has final authority in decisions about the location and address of the strategic AUF facilities, including the acquisition of important equipment, and disposal of the same.

PROVISION 17: CANDIDATES

1. The AUF Executive Committee is responsible for the system of candidate approval for elections to the State, Regional, and to the Pan African Parliaments. The AUF Executive Committee shall establish, and periodically review, the rules for approving Parliamentary candidates.

2. All AUF candidates at any election must be members of the AUF, and must affirm that they are members of the AUF and will abide by the policies of the AUF.

3. The Executive Committee of the AUF shall maintain a list of approved candidates for Parliamentary elections.

4. All members of the AUF may apply to become approved Parliamentary candidates, but no member can become an AUF candidate until they have been properly approved under the rules established by the AUF Executive Committee, or the AUF Board of Directors.

5. No member may describe themselves as a Parliamentary candidate, or prospective candidate, unless they have been properly approved under the appropriate AUF rules.

6. The selection of a candidate for inclusion on the election List, or for a particular Parliamentary seat, is the responsibility of the AUF membership branch whose area covers the seat. Where there is a contest for the selection all members of the branch shall be given the opportunity to vote. Where there is no branch, the Board of Directors [Council for Strategy and Policy Coordination] is responsible for selecting the candidate, although it may devolve that power as it sees fit.

7. For Pan African Parliament elections the President of the AUF shall ensure that where there is a contest for the selection all members resident in the seat concerned have the opportunity to vote.

8. All AUF candidates have the duty to promote the Mission and policies of the Front, as set out in this AUF provisions.

9. Because of their public status, AUF candidates in all elections have a special duty not to do or say anything that may bring the Front into disrepute, a duty which, if they be elected, continues throughout their time in office.


PROVISION 18: AMENDMENTS

1. Changes to the AUF Constitution (the Provisions) must be ratified by the AUF Board of Directors. Any other AUF Rules and Procedures, are ratified by the Executive Committee.

2. AUF Committees and organs may adopt rules and procedures governing the conduct of all matters within their jurisdiction, and may amend such rules from time to time upon a two-thirds vote of the Committee members, provided that no amendment shall adversely affect the rights of a member of the AUF, or violate the Mission and Provisions of the AUF.
